Terms and Conditions
Effective 29 July 2026 ·
Privacy Policy
Please read this before depositing. By creating an account or funding your
wallet you agree to these terms. If you do not agree with any part of them, do not use
Vertex Venture.
1. Who these terms are between
These Terms govern your use of the Vertex Venture platform (“the Platform”, “we”, “us”).
“You” means the registered account holder. These Terms take effect when you create an account and
remain in force while your account exists.
2. Eligibility
- Membership is by invitation. An account can only be created with a valid
referral code belonging to an existing member; registration without one is not possible.
That member becomes your sponsor, and as set out in section 3 the sponsor is permanent.
- You must be at least 18 years old and legally able to enter contracts.
- You must register in your own name and use payment methods that belong to you.
- One account per person. Duplicate accounts may be suspended and their balances frozen
pending review.
- You are responsible for confirming that participation is lawful where you live.
3. Your account
- Keep your password confidential. Activity carried out with your credentials is treated as
yours.
- Tell us immediately if you suspect unauthorised access.
- There is no self-service password reset. An administrator may reset it after verifying your
identity.
- Your sponsor is set at registration and cannot be changed, as commissions
are calculated against it.
- You must give us a valid mobile number and keep it current. We send SMS
notifications to it when a package is activated, when a withdrawal is raised against your
balance, and when a payout has been sent. These messages are informational: a notification
is not a guarantee that funds have cleared, and the records held on the Platform prevail if
the two ever differ. We will never ask for your password, a one-time code or your account
details by SMS. Standard carrier charges may apply.
- We also send in-app notifications, shown under the bell in the Platform
header, covering deposits confirmed, yields credited, withdrawals raised, payouts sent,
payouts that could not be completed, a payout account found to be registered to more than
one member, and automatic payouts being paused or resumed. These
are the fuller record and are retained on your account. As with SMS they are informational,
and the records held on the Platform prevail if the two ever differ. It is your
responsibility to check them; we are not obliged to contact you by any other means.
- Where you register using a referral code, the username and profile picture of the member who
owns that code are shown to you at sign-up so you can confirm who invited you. By sharing
your own referral link you agree to your username and profile picture being shown in the
same way to people you invite.
4. Deposits
- Deposits are accepted in Philippine pesos through our payment gateway, or in USDT, which is
converted at the rate shown at the time of crediting.
- Your balance is credited once the payment provider confirms the payment. Confirmation times
are outside our control.
- A confirmed deposit is immediately activated into an investment package
(see section 5). By depositing you instruct us to do this.
- USDT sent from an address you have not registered cannot be matched automatically. Such
funds are held until you register that address or an administrator assigns them.
- The blockchain network used for settlement is determined by Vertex Venture,
not by you. It is displayed on the deposit page beside the address at the time you deposit,
and may be changed for future transactions. You are responsible for reading it before each
transfer.
- Cryptocurrency sent on the wrong network, or to any address other than the one displayed,
cannot be recovered.
- Deposits are not refundable once a package has been activated.
5. Investment packages
- A package runs for 30 days and accrues yields at the daily rate published on
the Platform at the time of activation.
- Yields accrue continuously and become part of your withdrawable balance once
claimed.
- Claiming is automatic. Approximately every 6 hours, and
again immediately before each automatic payout run, the
Platform credits accrued yields to the wallet of every member whose accrued amount has
reached the published minimum claim. You may also claim manually at any time you are above
that minimum; the amount credited is identical either way, and no yield is ever credited
twice. Below the minimum you are skipped and included on a later run — accrual continues
throughout. We may change the frequency, and automatic claiming may be suspended for
maintenance without notice; unclaimed yields are not lost and remain claimable.
- The activated capital is locked for the full term. Packages cannot be
cancelled, and capital cannot be released early.
- Capital is returned to your wallet on day 31.
- Rates, minimum claim amounts and limits are those displayed at the time of activation. We may
change them for future activations; existing packages keep the terms they started
with.
6. Withdrawals
- Peso withdrawals are automatic. You do not submit a withdrawal request.
When your spendable balance reaches the published minimum, the Platform raises a payout
request in your name and pays it to the payout account saved on your profile.
- You must save a payout account before you can be paid. Until you do, no
payout is raised and your balance simply accumulates.
- A payout account may belong to one member only. The same bank or e-wallet
account cannot be registered to two accounts, and a save that would do so is refused.
Formatting differences are ignored when comparing, and a mobile number is treated as
belonging to one member across every provider — the same number registered at one
e-wallet by you and at another by a different member is refused on the same basis. Operating
multiple member accounts paid to a single destination is a breach of section 9 and may lead
to suspension under section 10.
- Where a payout account is nevertheless found on more than one member account,
automatic payouts are paused on every account involved, automatically and without
notice, and each member is notified. This applies regardless of which account registered the
details first: we make no determination from the details alone as to whose account it is, and
no payout is raised to a shared destination while the position is unresolved. Payouts resume
only once an administrator has reviewed the matter and released the accounts individually.
Nothing else about the affected accounts is restricted by the pause.
- A payout account is bound once. When you save it, the details are locked and
can no longer be edited from your account. This protects the one setting that determines
where your funds are sent. To change a bound payout account you must raise a request through
the Support
Desk. We may require you to verify your identity before making the change, and we may
decline a change request we cannot satisfy ourselves is genuine. A change takes effect only
once we have applied it, and does not alter a payout already released.
- You are solely responsible for the accuracy of the payout account details you
save — the destination name, account or mobile number, and any branch code.
Payments are made to exactly the details you provide. A payment sent to a wrong account
because of details you entered cannot be reversed or recovered, and is not
the responsibility of Vertex Venture or its administrators. Because these details are
bound on first save, verify them before you confirm.
- Every payout is subject to review and approval by an administrator before
funds are released. We may delay, decline or reverse a payout where we are required to
verify identity or the source of funds, where the details appear inconsistent, or where
fraud is suspected.
- Your balance is debited when the request is raised, not when the funds arrive. The amount
held is shown to you as a pending withdrawal.
- If a payout is declined, or cannot be completed by the payment provider, the full amount
including any fee is returned to your balance.
- Where a payout is declined, or is rejected by the receiving bank or e-wallet,
automatic payouts on your account are paused until the matter is resolved.
A rejection is paused automatically, so that the same details are not
attempted again and again. An administrator may also pause or resume automatic payouts on
an account at any time.
- A pause stops automatic payout requests only. It is not a suspension: you
can still sign in, your balance remains yours, and your packages continue to earn and to
credit yields throughout. To have automatic payouts resumed, correct your payout account
details where necessary and contact support.
- Only your spendable balance is eligible. Locked capital and unclaimed yields are not.
- Payout minimums, maximums and any fee are those published on the Platform and may change.
Where your balance exceeds the maximum, it is paid across multiple payouts.
- On-chain USDT withdrawals may be unavailable from time to time. When they
are, peso payouts continue as normal.
7. Referral commissions
- Commissions are paid on activations made by your network, at the published rates, at the
moment of activation.
- Commissions arising from fraudulent, duplicate or reversed activity may be reversed.
- You must not misrepresent Vertex Venture, promise specific returns on our behalf, or
recruit using misleading claims. Doing so may forfeit commissions and close your account.
8. Risk disclosure
Read this carefully.
- Participation involves risk, including the risk of losing the full amount you
put in.
- Published rates are targets, not guarantees. Past or projected performance does not
guarantee future results.
- Returns depend on the continued operation of the Platform. Operations may be affected by
business, technical, market or regulatory events.
- Amounts held on the Platform are not bank deposits and are not insured
or guaranteed by any government agency.
- Only commit money you can afford to lose. Do not borrow to participate.
- Nothing on the Platform is investment, tax or legal advice.
9. Prohibited use
You must not use Vertex Venture to launder money, to handle proceeds of crime, to finance
terrorism, or in breach of sanctions. You must not attempt to interfere with, probe or overload the
Platform, or access another member's account. We cooperate with lawful requests from authorities.
You must not operate more than one member account for yourself, register under a
false or borrowed identity, or arrange for several accounts to be paid out to a single bank or
e-wallet account. Referral commissions exist to reward genuine introductions; creating accounts to
earn commission on your own activations is prohibited, and we may withhold or reverse commissions
obtained that way.
10. Suspension and closure
We may suspend or close an account that breaches these Terms, is suspected of fraud, or where we
are legally required to do so. A suspended account cannot sign in; balances, packages and yield
accrual are unaffected by suspension itself. We may separately pause automatic payouts
on an account while a payout matter is investigated, without suspending the account. Where an account
is closed without fault, any legitimate spendable balance will be returned using a verified method.
11. Availability
We aim to keep the Platform available at all times but do not guarantee uninterrupted service.
Maintenance, provider outages, or blockchain congestion may delay deposits, claims or withdrawals.
12. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect or consequential loss, for
loss caused by details you supplied incorrectly, for the acts or failures of third-party payment
providers or blockchain networks, or for loss arising from unauthorised access resulting from your
failure to protect your credentials.
13. Taxes
You are responsible for determining and paying any taxes due on amounts you earn or withdraw. We
do not provide tax advice and may report information where required by law.
14. Changes to these terms
We may update these Terms. The effective date above will change and material updates will be
notified on the Platform. Continuing to use your account after an update means you accept it.
15. Governing law
These Terms are governed by the laws of the Republic of the Philippines, and the
courts of the Philippines have jurisdiction over any dispute.
16. Contact
Questions about these Terms, and any request to change a bound payout account, should be raised
through the Vertex Venture Support Desk. Include your username and, where the question concerns a specific
transaction, its reference number.
